BDO Legal advises the majority shareholders of ORGADATA on the entry of Forterro

A BDO Legal transaction team led by partners Dr Holger Achtermann and Thorsten Schumacher advised the majority shareholders of Leer-based Orgadata AG on the acquisition of the international software provider Forterro.

Orgadata AG is the leading provider in Germany with its Logikal software and sells its products in over 100 countries. More than 600 employees work at 24 locations worldwide. A large proportion of the employees come from the skilled trades themselves and contribute valuable industry experience to the further development of the software. Together with the software developers, system providers and customers, Orgadata is in constant dialogue to ensure that Logikal optimally covers the needs of modern window, door and curtain wall construction.

Since its foundation in 2012, Forterro has grown into one of the leading software providers for industry, with offices in the most important production countries in Europe as well as regional service and global development centres. From more than 40 locations, more than 1,600 employees provide and support software solutions for more than 13,000 industrial companies. Forterro's products are customised to meet the needs of each region and industry, enabling customers to strengthen and accelerate their business, operate efficiently and compete effectively.

This acquisition represents a significant step in the growth strategy of both companies. With its scale, expertise, and established processes, Forterro is perfectly positioned to complement Orgadata’s strengths and drive innovation forward. At the same time, Orgadata provides Forterro with a gateway into the windows, doors, and curtain wall sector, expanding Forterro’s portfolio beyond ERP and production solutions.
"We see Forterro as a catalyst for our future growth, one who shares our vision of advancing digitalization in craftsmanship and providing innovative solutions for our customers' growing challenges," emphasizes Bernd Hillbrands, the founder of Orgadata, who initiated the acquisition.

This vision for sustainable growth is shared by Marcus Pannier, Regional President of Central Europe at Forterro: "With this acquisition, we at Forterro will not only expand our portfolio but also open up a new sector within our target market, strengthening our position as a leading software provider for the mid-sized industrial market. Together with Orgadata, we will continue to drive digitalization in craftsmanship and, following our Forterro mission of ‘Powering the Businesses, Powering the Future,’ support even more customers."

The BDO Legal transaction team advised the majority shareholders of Orgadata AG comprehensively on the legal and tax aspects of the transaction. The transaction is still subject to merger control clearance, which is expected to be granted in the first quarter of 2025. For merger control advice, BDO Legal relied on its proven cooperation with Düsseldorf law firm ROCAN.

With regard to the collaboration with BDO Legal, Bernd Hillbrands stated: “I would like to thank the entire BDO transaction team. The team led by Dr Holger Achtermann and Thorsten Schumacher did an outstanding job and provided us with highly professional and comprehensive advice in this very complex process. Without this meticulous preparation and support, we would not have been able to realise this challenging transaction.”
