Software group Everfield has acquired the Saxon “VSX – Vogel Software GmbH”. This is the second acquisition in Germany on Everfield’s way to becoming a pan-European leader in B2B software for which Everfield again relied on a BDO Legal Team.
A transactional advisory team of BDO Legal Rechtsanwaltsgesellschaft mbH led by Thorsten Schumacher has advised Software group Everfield in the acquisition of Dresden-based VSX – Vogel Software GmbH.
VSX is one of the leading providers of software solutions in the European pump market. In particular, VSX offers the leading CPQ software “Spaix” and runs the renowned industry portal “impeller.net”. VSX's “Spaix” software is a CPQ (“Configure Price Quote”) solution which allows customers selecting, configuring and quoting centrifugal pumps. Centrifugal pumps have a wide range of use from water and wastewater to a variety of industrial applications.
“Everfield” which is backed by PE-sponsor Aquiline Capital Partners, is currently establishing a pan-European group of B2B software companies and focuses on the acquisition of suppliers of proprietary software solutions. As part of a “buy-and-grow” strategy, Everfield aims to fully acquire targets and sees itself as a long-term investor whose portfolio companies largely retain their autonomy but can draw on support from Everfield’s teams.
The BDO Legal team advised Everfield comprehensively on the due diligence and legal aspects of the transaction. Only recently, the BDO Legal team advised on the acquisition of Kulmbach-based SoCom Informationssysteme GmbH. Furthermore, the BDO Legal team, together with local colleagues, also assists Everfield with acquisitions throughout Europe, including two recent acquisitions in Latvia (Blue Bridge Technologies SIA and Digital Clinic SIA).
